These Terms of Service ("Terms") govern your access to and use of the websites (including cognitory.ai) and applications and services provided by Cognitory ("Cognitory", "we", "us") (together, the "Services"). By accessing or using the Services, you agree to these Terms. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to that organization.
The Services
Cognitory provides software for retirement-plan administration and compliance work, intended for business use by professional services firms. If your organization has a separate written agreement with Cognitory, that agreement controls where it conflicts with these Terms.
Accounts
You must provide accurate account information and keep your credentials secure. You are responsible for activity under your account. Notify us promptly at the address below if you suspect unauthorized use.
Acceptable use
- Do not use the Services in violation of applicable law.
- Do not attempt to gain unauthorized access to the Services, other users' data, or our systems, or to probe, disrupt, or overload them.
- Do not resell, sublicense, or provide the Services to third parties except as agreed with us in writing.
- Do not upload malicious code or content you have no right to use.
Your data
You retain all rights to the data you or your organization submit to the Services ("Customer Data"). You grant us a limited license to host and process Customer Data solely to provide and improve the Services. Our handling of personal information, including data received from Google APIs, is described in our Privacy Policy.
Our intellectual property
The Services, including software, design, and content we provide, are owned by Cognitory or its licensors. These Terms do not grant you any rights to our trademarks, software, or other intellectual property except the limited right to use the Services.
Disclaimers
The Services are provided "as is" without warranties of any kind, express or implied, including fitness for a particular purpose and non-infringement. The Services assist with, but do not replace, professional judgment; you remain responsible for your compliance obligations and filings.
Limitation of liability
To the maximum extent permitted by law, Cognitory will not be liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, revenue, or data, arising from your use of the Services. Our aggregate liability under these Terms is limited to the amounts you paid us for the Services in the twelve months preceding the claim, or 100 USD if you have paid nothing.
Termination
You may stop using the Services at any time. We may suspend or terminate access for breach of these Terms or to protect the Services or other users. Sections that by their nature should survive termination (including intellectual property, disclaimers, and limitation of liability) survive.
Changes to these Terms
We may update these Terms from time to time. We will post the updated Terms on this page and revise the "Last updated" date above. Continued use of the Services after changes take effect constitutes acceptance.
